Varonis Partner SPIFF Program Terms and Conditions of Use


DEFINITIONS

Administrator means 360insights (Canada) Ltd. and/or 360insights (USA) Ltd.

Program means the Varonis Partner Rewards Program, including all SPIFFs, incentive promotions, payouts, and reward redemptions offered through the Varonis Partner

Rewards platform, as amended from time to time.

Organizer means Varonis Inc., 801 Brickell Ave, 11th Floor, Miami, FL 33131.

Rewards means reward items including, without limitation, experience rewards, digital media, electronic gift cards, physical or electronic gift certificates, prepaid cards, vouchers, branded merchandise, prizes, and other one time awards that Users may earn under the Program.

Reward Points means points awarded to Users under qualifying Program incentives that may be redeemed for Rewards through the Website, where applicable.

User means authorized Varonis Partner Account Managers, Sellers, Sales Engineers, or equivalent partner roles whose partner companies are in good standing with Varonis and who have accepted these Terms and Conditions of Use.

Website means https://rewards.varonis.com.

These Terms and Conditions of Use apply to Varonis’ Varonis Partner Rewards Program and all associated SPIFF incentives.


ACCEPTANCE

By accessing the Website, participating in the Program, submitting payout or redemption requests, or accepting Rewards, the User agrees to be bound by these Terms and Conditions of Use and any additional rules, policies, or disclaimers published by the Administrator or Organizer.

Varonis reserves the right to amend these Terms and Conditions of Use at any time, with or without notice. Continued participation constitutes acceptance of any updates.


ELIGIBILITY

The Program is open to Users who:

  • Are residents of the United States, Canada, the United Kingdom, France, or Germany;
  • Are at least eighteen (18) years of age;
  • Are not the end user of the product purchased; and
  • Have received prior approval from their employer to participate.

This Program may not be combined with any other Varonis rebate, incentive, or promotional program unless expressly stated.

Employees of Varonis, its affiliates, advertising agencies, incentive suppliers, or members of their immediate families are not eligible for sales related incentives. Varonis employees may participate only in employee specific recognition programs.

Varonis may modify, suspend, or terminate the Program or any incentive at any time, even if such changes affect rewards previously earned.


USE OF DATA

The Administrator may collect and process personal data provided by Users for Program administration, incentive fulfillment, fraud prevention, tax reporting, and customer support. All data usage is governed by the Privacy Policy available on the Website.

By accepting these Terms and Conditions of Use, Users acknowledge that they have read and accepted the Privacy Policy.


TAX AND COMPLIANCE REQUIREMENTS

Participation in this Program may result in taxable income.

For all SPIFF payouts:

  • >A valid W 9 (U.S.) or W 8BEN (non U.S.) is required.
  • >No payout will be issued without completed tax documentation.
  • >Varonis is required to report applicable income to the IRS or other relevant tax authorities. Users are solely responsible for any tax obligations resulting from participation.

In the United States and Canada, the Administrator will issue 1099 or T4A forms where required by law.


INCENTIVE PARTICIPATION AND PAYOUT CONDITIONS

All SPIFF incentives are subject to the terms below and any specific campaign communications. Eligibility and payout determinations are made by Varonis in its sole and absolute discretion.

SPIFFs are not available for transactions involving government or public sector end customers where prohibited by law.


1. New Prospect Meeting (NPM) and Data Risk Assessment Incentive

To qualify:

  • Meetings must be completed with a C level or equivalent decision maker.
  • Opportunities must be registered via the Varonis Partner Community (help.varonis.com).
  • A New Prospect Meeting is defined as a meeting that has not occurred with the same prospect account within the past six (6) months.
  • Data Risk Assessments must originate from a qualifying NPM and be installed by the end of the quarter in which the SPIFF submission claim has been made.
    • Note: Varonis operates on a calendar fiscal year; Q1 (January – March), Q2 (April – June), Q3 (July – September), Q4 (October – December).
  • Multiple assessments for the same prospect account do not qualify for multiple payouts.
  • No user count stacking.
  • No payouts for meetings with prospect accounts that qualified for a prior incentive.
  • Product specific NPM and Risk Assessment claim submissions must be submitted separately.
  • If submitting for a product specific NPM or Risk Assessment the product must be specified in the deal registration submission.
  • Payout request forms must be submitted after the meeting or assessment installation and no later than the end of the quarter in which the qualifying SPIFF activity has taken place.

Payouts:

  • Points allocated based on qualifying activity.
  • Available to eligible Account Managers and Sales Engineers (or equivalent roles).
  • E gift cards not claimed within ninety (90) days of issuance will be cancelled.

2. Azure and AWS Marketplace Incentives

To qualify:

  • Deals must be closed through Azure Marketplace or AWS Marketplace.
  • MDDR must be included in the transaction.
  • Opportunities must be registered via the Varonis Partner Community.
  • Deals must be closed on or before the end of the quarter in which the SPIFF claim has been submitted.

Payouts:

  • Points allocated based on qualifying activity
  • Available to eligible Account Managers and Sales Engineers.
  • E gift cards expire ninety (90) days after issuance if unclaimed.

EARNING AND REDEMPTION OF REWARDS

Reward Points, where applicable:

  • Have no cash value;
  • Are non transferable and may not be pooled;
  • Cannot be redeemed for cash, checks, or bank deposits.

Fraudulent, misleading, or abusive activity may result in immediate disqualification, forfeiture of rewards, and account suspension.


PREPAID AND GIFT CARDS

If gift cards or prepaid cards are issued:

  • Cards must be activated before use.
  • Additional cardholder or KYC requirements may apply.
  • Lost, stolen, or misused cards are the responsibility of the User.

    • Once issued or activated, all risk passes to the User. Varonis and the Administrator are not liable for card misuse or expiration.


    TERMINATION

    Varonis or the Administrator may cancel or terminate the Program or any SPIFF incentive at any time with or without notice.

    Upon Program termination, Users will have thirty (30) days to redeem any eligible Reward Points. Unredeemed points will be forfeited.


    LIMITATION OF LIABILITY AND GENERAL TERMS

    Varonis and the Administrator are not responsible for third party services, delivery failures, technical interruptions, or misuse of Rewards.

    Nothing in these Terms limits liability for death, personal injury, fraud, or gross negligence where prohibited by law.
